VocaCare Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the services provided by VocaCare, Inc. (“VocaCare,” “we,” “us,” or “our”), including our AI voice companion, VocaCircle features, and related offerings (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Services.
1. Overview of the Services
VocaCare is an AI voice companion designed to gently check in with older adults and other users through regularly scheduled calls. The Services aim to act as:
A conversational companion.
A health and wellness memory aid.
A safety net to support independence and well-being.
Through regularly scheduled calls with a VocaCare member (“VocaMember”), the VocaCare AI may:
Engage in conversations and capture self-reported symptoms and wellness information.
Generate and organize health and wellness trend data, summaries, and qualitative insights.
Notify designated VocaCircle members (such as family, friends, or neighbors) when scheduled calls are missed, if that feature is enabled and all required permissions have been granted.
These notifications are intended to prompt a well-being check-in, but do not constitute an emergency response service and are not a substitute for contacting emergency responders.
2. Eligibility and Account Registration
To use the Services, you must:
Be at least the age of majority in your state of residence or have valid consent and involvement of a parent, guardian, or legally authorized representative, as applicable.
Have the legal capacity to enter into a binding contract.
You agree to provide accurate, current, and complete information when you create or manage your account and when you designate any VocaCircle members. You also agree to keep this information updated, including your and your VocaCircle members’ contact details.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. VocaCircle Members and Permissions
As a VocaMember, you may designate one or more individuals (such as family, friends, or neighbors) as “VocaCircle” members.
By designating a VocaCircle member, you may grant VocaCare permission to:
Send that individual notifications regarding missed calls or well-being alerts.
Provide that individual access to health and wellness trend data and related information generated about you by the Services, to the extent you authorize.
You are responsible for:
Ensuring that each VocaCircle member has consented to receive notifications and to access your information as applicable.
Providing accurate contact information (e.g., phone number and email).
Informing your VocaCircle members about how the Services work and what notifications they may receive.
VocaCircle members may choose to opt out of receiving notifications at any time using the mechanisms provided (for example, by replying “STOP” to text messages or changing communication preferences).
4. Communications, Text Messages, and Email
If your VocaCircle members opt in to receive text messages or email notifications:
You authorize VocaCare, its affiliates, and its service providers to send communications related to the Services, including missed-call alerts, well-being notifications, and account-related messages.
Depending on the level of service purchased, up to three daily notifications (for example, after missed calls) may be generated.
Standard messaging and data rates may apply for text messages, and you and/or your VocaCircle members are responsible for any such charges.
Recipients may opt out of non-essential text notifications at any time by replying “STOP” to a message or by making changes within their dashboard. Even after opting out of certain communications, you may still receive messages that are necessary to provide the Services or to comply with legal requirements.
Wireless carriers are not liable for any delayed or undelivered messages.
5. Health and Wellness Information; No Medical Advice
The Services may collect self-reported health and wellness information and generate trend reports and qualitative insights from that information. However:
VocaCare and the Services do not provide medical advice, diagnosis, or treatment.
The Services are not a substitute for professional medical care, clinical judgment, or any healthcare provider’s recommendations.
You should always consult qualified healthcare professionals for questions about your health, treatment options, or emergencies.
You agree not to rely on the Services as a substitute for professional medical advice or emergency services. If you believe you or someone else is experiencing a medical emergency or is in immediate danger, you must contact emergency services (such as 911 in the United States) or appropriate local authorities immediately.
6. No Emergency Response Services
The Services, including notifications to VocaCircle members, are intended to facilitate well-being check-ins and communication, but:
Do not provide monitoring, emergency dispatch, or real-time response services.
Do not guarantee that any notification will be sent, received, reviewed, or acted upon within any particular time frame or in any particular way.
Do not replace contacting emergency responders or other appropriate authorities.
You and your VocaCircle members are solely responsible for taking any action (or refraining from action) in response to notifications or information provided by the Services.
7. User Responsibilities
You agree that you will:
Use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations.
Not use the Services to transmit unlawful, threatening, harassing, defamatory, obscene, or otherwise inappropriate content.
Not attempt to interfere with or disrupt the operation, security, or integrity of the Services.
Maintain the confidentiality of your account credentials and promptly notify us of any suspected unauthorized access to your account.
Obtain any necessary permissions from VocaCircle members or other individuals whose information you provide.
You are solely responsible for your conduct when using the Services and for any consequences arising from your use of the Services.
8. Intellectual Property
The Services, including all related content, features, and functionality (such as software, text, graphics, logos, and audio), are owned by VocaCare or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, VocaCare grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.
You may not:
Copy, modify, distribute, sell, lease, or create derivative works based on the Services.
Reverse engineer, decompile, or attempt to extract source code from the software used to provide the Services, except where such restrictions are prohibited by law.
Remove or alter any proprietary notices or trademarks on or in the Services.
9. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

10. Subscription Plans, Fees, and Changes
If you purchase a paid subscription or other fee-based Services:
You agree to pay all applicable fees, taxes, and charges associated with your selected plan, in accordance with the pricing and billing terms presented to you at the time of purchase.
Fees are generally non-refundable unless otherwise stated in an applicable refund policy or required by law.
We may change our pricing and fees from time to time. Any changes will apply prospectively, and we will provide notice where required. Your continued use of the Services after the effective date of a fee change constitutes your acceptance of the updated pricing.
11. Disclaimers
To the fullest extent permitted by law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, VocaCare, its affiliates, and its service providers do not warrant that:
The Services will be uninterrupted, secure, or error-free.
The Services will meet your needs or expectations.
Any data, notifications, or other information provided by the Services will be accurate, complete, or timely.
You are solely responsible for evaluating the accuracy and usefulness of any information obtained through the Services and for your decisions and actions based on that information.
12. Limitation of Liability
To the fullest extent permitted by law:
VocaCare, its affiliates, and its service providers are not responsible or liable for any actions or inactions taken by you, any VocaCircle member, or any other person in response to notifications, trend information, or other data provided by the Services.
VocaCare, its affiliates, and its service providers are not liable for any delay, omission, or failure in the transmission, receipt, or access to messages or data due to network issues, carrier delays, technological problems, or other events beyond our reasonable control.
Wireless carriers are not liable for any delayed or undelivered messages.
In no event will VocaCare, its affiliates, or its service providers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits or data, arising out of or in connection with your use of, or inability to use, the Services, even if advised of the possibility of such damages.
To the extent liability cannot be excluded, the total aggregate liability of VocaCare, its affiliates, and its service providers arising out of or relating to the Services or these Terms will not exceed the amount you paid (if any) for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
13. User Feedback and Reviews
We welcome feedback, comments, and suggestions regarding the Services. If you submit feedback, you agree that we may use it without restriction and without any obligation to compensate you.
Nothing in these Terms is intended to restrict you from making lawful statements, reviews, or other feedback about VocaCare or the Services, consistent with applicable law.
14. Termination and Suspension
We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if:
You violate these Terms or any applicable law.
We believe your use of the Services may cause harm to us, other users, or third parties.
We are required to do so by law or by a court or governmental authority.
You may stop using the Services at any time. Upon termination of your account, your right to use the Services will cease, but the following sections will survive: Intellectual Property, Privacy (as applicable to past use), Disclaimers, Limitation of Liability, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive termination.
15. Governing Law and Dispute Resolution
These Terms and your use of the Services are governed by the laws of the State of California, without regard to its conflict of law rules.
Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in [Insert County], California, and you consent to the personal jurisdiction and venue of such courts, except where applicable law provides you with a different right.
You and VocaCare agree to attempt to resolve disputes informally before initiating formal proceedings. You may wish to consult with an attorney regarding whether to include arbitration or class-action waiver provisions here.
16. Changes to the Services and These Terms
We may modify, suspend, or discontinue all or part of the Services at any time, with or without notice, where permitted by law.
We may also revise these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and may provide additional notice as required (for example, via email or within the Services). Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of those changes.
If you do not agree to the updated Terms, you must stop using the Services.
